Aeromexico’s Board of Directors issues opinion on Delta Air Lines’ tender offer

Grupo Aeromexico, S.A.B. de C.V. reports that its Board of Directors held a meeting, and after receiving the opinion of its Audit Committee and the opinion of Morgan Stanley & Co. LLC, as an independent expert, regarding the offer price, considers such price is both supported from a financial perspective and represents fair value.

The members of the Board, shareholders and Chief Executive Officer announced their decision to participate in the offer, under the proposed terms, assuming there are no changes to current circumstances. They do not consider that there are conflicts of interest with regard to the offer and or related to the offer.

Those members related to the offeror abstained from participating in the discussion and resolution process.
